AI Features Terms

These AI Features Terms apply to Customer's use of the AI Features, to 24Slides' use of generative artificial intelligence to create content that is included in the Deliverables, and to the AI Outputs in each case.

In the event of a conflict between these AI Features Terms and the General Terms, these AI Features Terms prevail in respect of the AI Features and the AI Outputs. Where the Parties have entered into a separate AI addendum or similar instrument, that instrument prevails over these AI Features Terms to the extent of any conflict.

Customer accepts these AI Features Terms before first use of the AI Features, and before 24Slides includes content generated by artificial intelligence in the Deliverables. Acceptance may be given by electronic acceptance on the Platform or at signup, in the Order Form, or by other written confirmation. 24Slides records each acceptance, including the accepting user, the time of acceptance and the version of these AI Features Terms accepted.

24Slides publishes these AI Features Terms on the Platform or on its website. 24Slides may amend these AI Features Terms with effect for future use of the AI Features. Where an amendment is material, 24Slides obtains Customer's renewed acceptance before further use. Each version is dated, and earlier versions remain available.

means (i) functionality made available by 24Slides that enables Customer to generate presentation content by means of generative artificial intelligence, including the AI deck builder, and (ii) 24Slides' use of generative artificial intelligence to create content that is included in the Deliverables.

means logos, brand guidelines, text, images, data and other material submitted to the AI Features by Customer, or by 24Slides on Customer's behalf, including prompts.

means content generated by the AI Features, whether in response to Customer Inputs or otherwise.

means templates, layouts, design systems, components, icons, generic design elements, software and other materials of 24Slides or its licensors that are pre-existing or of general application, and that do not contain Customer's Confidential Information.

Customer retains all right, title and interest in and to the Customer Inputs.

Customer grants 24Slides a non-exclusive, worldwide, royalty-free licence to host, store, process and transmit the Customer Inputs, including to providers of AI Tools, to the extent necessary to provide the AI Features.

Customer warrants that it owns, or holds all necessary rights and licences to, the Customer Inputs, and that 24Slides' use of the Customer Inputs in accordance with the Contract does not infringe the rights of any third party or applicable Law.

Customer shall indemnify and hold harmless 24Slides against any Claim brought by a third party arising out of the Customer Inputs or out of a breach of Section 3.3.

To the extent that any Intellectual Property Rights subsist in the AI Outputs and vest in 24Slides, 24Slides assigns such rights to Customer with effect from the generation of the AI Outputs. Customer may use, modify, reproduce, present, distribute and commercially exploit the AI Outputs without further payment to 24Slides.

24Slides makes no representation that Intellectual Property Rights subsist in the AI Outputs. Customer acknowledges that material generated by artificial intelligence may not attract copyright or similar protection in all jurisdictions.

Nothing in Section 4.1 assigns Background IP. 24Slides retains all Intellectual Property Rights in the Background IP, and grants Customer a perpetual, irrevocable, worldwide, non-exclusive, royalty-free and fully paid-up licence to use, reproduce, display, distribute and create derivative works of the Background IP solely as incorporated in the AI Outputs.

Section 3.2 of the General Terms does not apply to the AI Outputs.

The AI Outputs are generated automatically. Output generated for other customers may be similar or identical to the AI Outputs. 24Slides gives no warranty of uniqueness and is not restricted from generating similar output for others. Customer is responsible for any clearance it considers necessary before commercial use, including in respect of trade marks.

Customer acknowledges that AI Outputs generated by Customer through the AI Features are produced without review by 24Slides Personnel, and that the human oversight and quality control described in Section 2.6 of the General Terms does not apply to the AI Features where AI Outputs are generated by Customer.

Customer is responsible for reviewing and verifying the AI Outputs before use. AI Outputs may be inaccurate, incomplete, outdated or unsuitable for Customer's purpose.

Section 5 of the General Terms applies to the AI Features and the AI Outputs. The AI Features are provided "as is" and "as available".

Customer shall not use the AI Features to generate, and shall not submit as Customer Inputs, material that is unlawful, infringing, harmful, abusive, harassing, discriminatory, obscene or otherwise in breach of applicable Law. Customer shall not use the AI Features to develop or train a competing model, to reverse engineer the AI Features, or to circumvent their technical restrictions.

Customer shall comply with the acceptable use policies of the providers of the AI Tools underlying the AI Features, as notified by 24Slides from time to time.

24Slides may suspend access to the AI Features with immediate effect where it reasonably suspects a breach of this Section 6. Section 1.8 of the General Terms applies accordingly.

Where Customer or its users interact directly with the AI Features, 24Slides will inform them that they are interacting with an artificial intelligence system.

Where required by applicable Law, 24Slides will mark AI Outputs as artificially generated in a machine-readable format, to the extent technically feasible.

Customer is responsible for compliance with any obligation that applies to Customer in respect of its own use and further distribution of the AI Outputs, including any disclosure obligation towards Customer's own audience.

Where the Customer Inputs include personal data, processing takes place in accordance with the Data Processing Agreement and applicable Data Protection Laws.

Providers of the AI Tools underlying the AI Features are treated as subcontractors under the Contract and, where personal data is processed, as sub-processors listed in Annex B to the Data Processing Agreement.

24Slides shall ensure that Customer Inputs and AI Outputs are not used by the providers of the AI Tools to train, fine-tune or otherwise improve their models, save where processing is strictly necessary in order to generate the output requested.

24Slides may change the providers or models underlying the AI Features, subject to the notification procedure for sub-processors set out in the Data Processing Agreement.

Use of the AI Features draws on Customer's Service Allocation as set out in the Order Form. Excess usage is charged in accordance with Section 3.4 and Section 4.1 of the General Terms.

These AI Features Terms take effect upon Customer's acceptance under Section 1.3 and remain in force for the term of the Contract. Sections 3.3, 3.4, 4, 5 and 6 survive termination or expiry of the Contract.
